Binder Grösswang Advises Blockpit GmbH on Takeover of German 21 Consulting GmbH
The Austrian fintech start-up Blockpit, a provider of software compliance solutions, acquired the German company 21 Consulting GmbH, which offers services in the field of cryptocurrency taxation under the brand name Crypto Tax.
The signing and closing took place on 24 August 2020 at the Binder Grösswang premises in Vienna. Instead of a purchase price payment, the acquisition was made in exchange for new shares in Blockpit issued in the course of a capital increase.
The Binder Grösswang team advising Blockpit GmbH was led by partner Christian Zwick and associate Hermann Beurle (both corporate/M&A). They were supported by Moritz Salzgeber (attorney at law, corporate/M&A), Florian Dollenz (associate, corporate/M&A) and Clemens Willvonseder (attorney at law, tax). Bird&Bird advised on issues under German law. Additionally, KPMG Austria and KPMG Germany advised on tax aspects.
