Binder Grösswang Advises Dussmann on Acquisition of JANUS Group
Binder Grösswang advised P. Dussmann GmbH (Dussmann Service Österreich) on the acquisition of 100% of the shares in JANUS Gruppe GmbH from its two shareholders, Dragan and Vuka Janus.
Through this acquisition, Dussmann Service Österreich has strengthened its healthcare competence in the cleaning services sector as well as its customer base, and is thus better positioned for upcoming challenges, also in view of the Corona pandemic, as an innovative provider of services in the health sector. The acquisition is part of Dussman’s international growth strategy.
P. Dussmann GmbH is a subsidiary of the globally operating Dussmann Group and is a one-source provider of all services relating to buildings: cleaning, technical services, catering, security and reception services, commercial management and energy management.
JANUS Gruppe GmbH, founded by the Janus family, is a Viennese cleaning company specializing in cleaning services for hospitals; its customers include several of the most renowned clinics in Austria. The Janus family, including Managing Director Dragan Janus, will continue to be involved in the operations of the company.
The Binder Grösswang team for the transaction was led by corporate/M&A specialists Thomas Schirmer and Philipp Kapl (partners) and Wolfgang Guggenberger (attorney at law). It also included Horst Lukanec, Manuel Müllner and Nina Niederstrasser for employment law aspects, Christine Dietz and Max Danzinger for the merger application, and Clemens Willvonseder for tax issues.
The sellers were advised by a Wolf Theiss team led by Christian Mikosch (partner).
