Binder Grösswang advises Grissemann Gesellschaft m.b.H. on Acquisition of AGM Cash & Carry Store from Metro Österreich
Binder Grösswang advised Grissemann Gesellschaft m.b.H. (Grissemann) on the acquisition of the cash & carry store in Bludenz (AGM Bludenz) operated by C&C Abholgroßmärkte Gesellschaft m.b.H., a subsidiary of Metro Österreich.
METRO Cash & Carry Österreich GmbH (METRO) and its subsidiary C & C Abholgroßmärkte Gesellschaft m.b.H. (AGM), in compliance with a requirement of the antitrust authority, have sold their cash & carry store located in Bludenz (AGM Bludenz), Vorarlberg, to Grissemann.
Grissemann Gesellschaft m.b.H. took over all 45 employees at the location in Bludenz, and since the beginning of November, the store’s customers have been able to benefit from Grissemann’s many years of experience and outstanding logistics performance. Grissemann Gesellschaft m.b.H., with headquarters in Zams (Tirol), is wholly owned by the Walser family; Thomas Walser is the sole managing director. The company’s business activities focus on the provision of wholesale products for hotels, the catering industry and bulk consumers in Tirol und Vorarlberg. The Zams branch distributes products to more than 2,000 customers in the hotel and catering industries, covering an area with a radius of about 100 km.
Grissemann is part of the Eurogast Österreich Group, which comprises a total of 10 catering wholesalers operating at 18 locations across Austria under the brand name “Eurogast”. The Eurogast wholesalers, most of them independent family enterprises, have been established in their regions for many generations, serving the hotel and catering industries and bulk consumers with high commitment. With the acquisition of the Bludenz location in Vorarlberg, Eurogast has filled an important gap, giving the Group comprehensive presence throughout Austria.
The Binder Grösswang team advising the buyer was comprised of Christian Zwick (partner, M&A), Christoph Schober (attorney at law, M&A) and Johanna Müller (associate, M&A), as well as Johannes Barbist (partner, regulatory) and Alexander Kramer (counsel, real estate). The seller was represented by DORDA Rechtsanwälte GmbH, with Christian Ritschka as the lead partner.
