Binder Grösswang advises SECO on the acquisition of the business of the insolvent K&L
Binder Grösswang advises Seco Kühl- und Ladenbau GmbH (“SECO”) on the acquisition of the business of Kühl- und Ladeneinrichtungen Handelsgesellschaft m.b.H. from its insolvency proceedings.
By taking over the essential business operations and a large part of the workforce, SECO was able to ensure a seamless transition and continuous support for customers and ongoing projects. At the same time, the acquisition from the insolvency proceedings enables a clear restart of operations without any legacy issues.
The SECO Group is a family-run group based in Bochum, Germany, with generations of experience in the field of refrigeration technology. Almost 10 years ago, the SECO Group established its presence in Austria with a location in the Graz area. The acquisition will enable the group to expand its business in Austria in many ways and offer the manufacture of refrigeration technology systems and the associated repair and maintenance services in the Vienna metropolitan area and surrounding region.
Binder Grösswang provided comprehensive advice from the beginning to the conclusion of the transaction. The lead team consisted of partner Georg Wabl and associate Florian Kremser (both restructuring & insolvency law). Further advice was provided by associate Florian Höllebauer (corporate / M&A), partner Horst Lukanec, counsel Sabine Apfel-Trompeter and associate Inka Essl (all employment law), partner Markus Uitz and counsel Thomas Stiglbauer (both real estate law), attorney Anian Gruber (regulatory), partner Clemens Willvonseder (tax), attorney Christoph Raab (competition law), and partner Michael Horak and associate Philipp Agathocleous (both IP/IT).
